Farmhouse Furbabies Dog Purchase Agreement


PURCHASE AGREEMENT (“Agreement”) is made and entered into on between Farmhouse Furbabies LLC, an Ohio limited liability company whose address is 1713 S. Washington Street, Millersburg, Ohio 44654 (“Seller”) and Buyer, as stated below, with reference to the following facts: A. Seller is engaged in the operation of a pet sales business within the State of Ohio; and B. Buyer desires to purchase from Seller, and Seller desires to sell to Buyer, a dog being offered for sale by Seller, on the terms and conditions hereinafter set forth. NOW, THEREFORE, Seller and Buyer agree as follows:

  1. Purchase and Sale of the Dogs. On the terms and subject to the conditions set forth in this Agreement, Seller shall sell, convey, assign and transfer to Buyer, and Buyer shall purchase from Seller, all of Seller’s right, title and interest in and to the dog described in Exhibit A attached hereto and incorporated herein by reference (the “Dog”). 1 Farmhouse Furbabies 1713 S.   3. Purchase Price. Payment in full is due immediately by Cash, Credit Card or Financing Options upon the execution of this Agreement.

  4. Possession; Bill of Sale. Upon the execution of this Agreement and Seller’s receipt in full of the Purchase Price: (a) Seller shall deliver to Buyer a Bill of Sale in substantially the same form and substance as that provided in the attached Exhibit B (“Bill of Sale”); and (b) Buyer shall be entitled to obtain possession of each Dog.

  5. Buyer’s Representations and Warranties. Buyer represents and warrants the following with respect to each Dog: (a) each Dog is being purchased as a companion dog and not for resale or for any illegal purpose; (b) Buyer has fully inspected each Dog and will be relying solely upon such inspection for all purposes including, without limitation, the character, suitability for any intended or particular use, health and demeanor of each Dog; (c) each Dog is being purchased and transferred to Buyer “AS IS” with all faults, defects and medical conditions and illnesses (whether preexisting or otherwise) as of the date of this Agreement; and (d) no representations, warranties or guarantees were made by Seller or any of Seller’s agents regarding each Dog’s character, suitability for any intended use, health and demeanor, except as otherwise specifically set forth in this Agreement. (i) Important First Steps. (A) Change of environment, surroundings, separation from siblings and a new family can be stressful to your puppy and can have a serious impact on your puppy’s immediate health, especially during the first few days to the first couple weeks. If you notice any signs of stress: such as a change in attitude, appetite, bowel movements, lack of bowel movement or any other symptoms please contact us immediately for advice or your veterinarian. (B) One of the most important factors to consider for a new puppy parent is: Ensure that puppy is eating four times a day with access to adequate clean water at all times. Ensure that your new puppy is given plenty of downtime and rest. If you have any concerns please call us at 330-231-9209, we are here to help and answer all your questions. (C) Veterinarian care is extremely important for the health of your new puppy. For this guarantee and warranty to remain effective, you must take your puppy to be examined by a licensed veterinarian within ten (10) days of taking possession and continue with ongoing routine care throughout his/her lifetime. (ii) Initial Health Guarantee. (A) We guarantee to the original purchaser that your puppy is healthy at the time of adoption and free from the following infectious diseases: Parvovirus, Distemper, Hepatitis, CoronaVirus for a period of ten (10) days from the date of taking possession. Should your veterinarian diagnose any of the above diseases within the ten (10) day period after taking possession you must notify us immediately at 330-231-9209. At your option we will replace or refund the puppy. (iv) Prescription Reimbursement: We offer the following prescription reimbursement to the original owner if prescribed by a licensed veterinarian within ten (10) days of the original purchaser taking possession of your puppy: Cough/respiratory – We will reimburse for one (1) round of antibiotics (azithromycin or doxycycline) or one (1) injection of Convenia. (We do not reimburse for Clavamox) 2 Farmhouse Furbabies 1713 S. Washington Street Millersburg, OH 44654 330-231-9209 Farmhouse Furbabies Dog Purchase Agreement Pre-existing Parasitism — We will reimburse for one (1) round of wormer or up to ten (10) days of Albon. Giardia- We will reimburse for: Metronidazole along with Panacur for seven (7) days OR Drontal Plus for three (3) days Follow Up Fecal Exam – We will reimburse one (1) time for Float or Smear (we do not cover Eliza or PCR tests). Any other fecal tests deemed necessary will require prior approval beforehand. (v) EXCLUSIONS; WE DO NOT COVER. In addition to other limitations and exclusions outlined herein, the limited health guarantee Non-life threatening conditions such as inguinal and umbilical hernias, retained testicles, cherry eyes. These conditions are common and should be addressed when the puppy is spayed or neutered. X-rays related to a cough, except if such x-ray is required because of a persistent irritation. Please contact us for prior approval before proceeding in order to be eligible for coverage. Grade 1 or 2 luxating patellas are not covered as they usually will not pose a threat. Other grades of luxating patellas or congenital hip disease are not covered unless they are identified within the first ten (10) days. Parasites such as giardia, coccidia or other common types of parasite except as outlined above and diagnosed within ten (10) days. Respiratory infections except as outlined above and diagnosed within the specific timeframes. Low blood sugar (hypo-glycemia). This is preventable and it is your responsibility to make sure your puppy is receiving adequate food, water and rest. Diagnostics related to grade 1 or 2 heart murmurs. These can be transient and do not pose a threat to your puppy. These are also not grounds for return/refund of your puppy. Any infectious diseases contracted after the date of sale. Malocclusions- As your puppy grows and develops the teeth are ever changing and it can be difficult to predict their final placement. Due to this we do not cover any costs associated with any dental or bite abnormalities or vet bills associated with your puppy’s teeth. Initial fecal exam. Any other diagnostic tests without prior approval. Any claims, costs, or vet bills other than medication reimbursements as described above.

  6. Returns. Within ten (10) days of the date of this Agreement, a Dog purchased hereunder may only be returned to Seller (each a “Returned Dog”) if each of the following actions is taken within such ten (10) day period: (a) at Buyer’s sole expense, a licensed doctor of veterinary medicine assesses the Returned Dog and certifies in writing that the Returned Dog is unfit for purchase due to illness or disease except for parasites and other items listed in section (V); (b) the Returned Dog is delivered to Seller at Seller’s address identified on page 1 of this Agreement, at cost to seller; and (c) the written certification described in 5(a) (or a photocopy thereof) is provided to Seller within two days of the underlying veterinary assessment. In such event, Seller shall accept each Returned Dog and thereafter, in Seller’s sole discretion, either: (i) replace each Returned Dog at no additional cost to Buyer with another dog of Seller of the same breed, sex and color and of substantially the same age (“Replacement Dog”) at any time within the following six-month period along with a new Bill of Sale with respect to each 3 Farmhouse Furbabies 1713 S.   7. There is no “cooling off” period, so if the buyer changes their mind about purchasing the dog named in this contract, the return of the dog will be accepted, at no cost to the seller, however there will be no refund given.

  8. If a Replacement Dog is to be provided to Buyer, Buyer acknowledges that the terms set forth in Sections 4 – 7 of this Agreement shall apply to each such Replacement Dog. 

  9. Death of Dog. In the event that the Dog dies unexpectedly within three days of the date of this Agreement, Buyer shall be entitled to a full refund if each of the following actions is taken within such three-day period: (a) Buyer obtains an autopsy of the Dog by a licensed state lab indicating the exact cause of death; and (b) a copy of such autopsy is provided to Seller. Seller shall provide Buyer with a full refund of the Purchase Price within seven (7) days after receipt of the autopsy identified in this Section. Buyer expressly acknowledges that Seller shall not be responsible for any ancillary costs (vet bills, autopsy bills, etc.) incurred by Buyer in conjunction with the death and subsequent autopsy of the Dog. 

  10. Assumption of Liabilities and Costs; Risk of Loss. Following Seller’s receipt of the Purchase Price, Buyer shall: (a) assume all liabilities and costs arising from or related to the Dog including, without limitation, all veterinary costs, travel costs and expenses; and (b) bear all risk of loss, damage and injury with respect to each such Dog. 

  11. Delivery of the Dog. Buyer shall elect one of the following delivery options for the Dog, by placing a check mark by either 8(a) or 8(b) below: (a) Personal Dog Nanny : In the event that Buyer elects to have a personal dog nanny deliver the Dog to Buyer’s address listed above, Seller shall arrange for such nanny services. Buyer agrees to pay any and all costs associated with delivery of the Dog to Buyer’s address in accordance with fees and expenses charged by the dog nanny. Buyer agrees to hold harmless and indemnify Seller for any loss, liabilities or costs arising out of transportation of the Dog by the dog nanny and shall bear all risk of loss, damage and injury with respect to the Dog during said transportation. (b) Pickup at Seller’s Business : Buyer shall arrange to pick up the Dog at Seller’s principal place of business as outlined above. 

  12. Miscellaneous. (a) This Agreement is being executed and delivered in the State of Ohio and shall be construed and enforced in accordance with Ohio law without regard to its conflict-of-laws principles. Exclusive jurisdiction and venue for any action arising out of or related to this Agreement shall be in any state court of competent jurisdiction situated in Holmes County, Ohio. (b) This Agreement constitutes the entire contract between the parties with respect to the subject matter contained herein and supersedes any prior or contemporaneous agreement between the parties with respect to said subject matter. This Agreement may only be modified in a writing that is signed by the parties hereto. (c) This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile or PDF copies of such signed counterparts may be used in lieu of the originals for any purpose. 4 Farmhouse Furbabies 1713 S.
